Commercial and legal terms governing the use of our website and engagement of DSP Controls services.
These Terms of Service ("Terms") govern use of the DSP Controls website and services provided by DSP Construction and Engineering Works (PVT) Ltd. ("DSP Controls", "we", "us", or "our"). By accessing our website or engaging our services, you agree to these Terms.
1. Scope of Services
Our services may include SCADA, BMS, IBMS, controls engineering, integration, commissioning, analytics, cybersecurity hardening support, maintenance, and related consulting. Detailed scope, timelines, deliverables, and fees are defined in project proposals, service agreements, or statements of work.
2. Website Use
- You may use this website for lawful business purposes only.
- You must not attempt unauthorized access, disruption, scraping abuse, malware distribution, or misuse of website resources.
- We may restrict or suspend access for behavior that creates legal, security, or operational risk.
3. Quotations, Orders, and Change Control
- All quotations are subject to confirmation, assumptions, and validity periods stated in the proposal.
- Work starts only after required approvals and contractual documents are completed.
- Scope additions or modifications are handled through documented change control and may affect price or schedule.
4. Client Responsibilities
- Provide timely access to sites, systems, documentation, and authorized contacts.
- Ensure safe site conditions and compliance with applicable safety requirements.
- Maintain required licenses, approvals, and third-party permissions for connected systems.
- Review and approve deliverables within agreed response windows to avoid schedule impacts.
5. Third-Party Platforms and Products
Many deployments involve third-party hardware, software, cloud tools, and communication protocols. DSP Controls is not responsible for vendor actions, product defects, end-of-life changes, or license restrictions outside our direct control.
6. Intellectual Property
- Each party retains ownership of pre-existing intellectual property.
- Project-specific deliverables are licensed or assigned as defined in the applicable contract.
- DSP Controls retains ownership of internal methods, reusable templates, libraries, and know-how unless expressly agreed otherwise in writing.
7. Confidentiality
Both parties must protect confidential information disclosed during proposals, implementation, and support. Confidential information may be used only for authorized business purposes and must not be disclosed except as required by law or contract.
8. Data Protection and Cybersecurity
We apply reasonable controls appropriate for building automation and industrial environments. Security obligations and incident-handling responsibilities may be further defined in project agreements, support contracts, and cybersecurity schedules.
9. Fees and Payment
- Fees, milestones, taxes, and payment terms are specified in the commercial agreement.
- Late payment may result in suspension of non-critical work, support, or deliverables until outstanding balances are settled.
- Client remains responsible for third-party license and subscription charges unless expressly included in writing.
10. Warranties and Disclaimers
We provide services with reasonable skill and care consistent with professional practice. Except where required by law or expressly stated in contract, services and website content are provided on an "as is" and "as available" basis, without implied warranties of uninterrupted availability, merchantability, or fitness for a particular purpose.
11. Limitation of Liability
To the extent permitted by law, DSP Controls is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of profit, downtime costs, business interruption, or data loss. Aggregate liability is limited to amounts paid for the specific service giving rise to the claim, unless otherwise agreed in writing.
12. Indemnity
You agree to indemnify and hold DSP Controls harmless from claims, losses, and expenses resulting from your misuse of the website, breach of these Terms, or unlawful acts.
13. Suspension and Termination
We may suspend or terminate service access for material breach, non-payment, legal non-compliance, unsafe working conditions, or cybersecurity risk. Termination rights and post-termination obligations are subject to the applicable contract.
14. Governing Law and Dispute Resolution
Unless otherwise agreed in a signed contract, these Terms are governed by the laws of Sri Lanka. Parties will first attempt good-faith negotiation before escalating to formal legal proceedings.
